1. About These Terms

These terms are an agreement between [Legal entity name] (ABN [ABN]) ("we", "us") and the business that creates a Uncog AI account ("you"), including every member you invite. By creating an account or using Uncog AI, you agree to them. If you use Uncog AI on behalf of a business, you confirm you are authorised to accept these terms for it.

2. The Service

Uncog AI helps a business manage its contacts, companies and calendar, design and run workflows for its clients, give those clients a portal to supply information, and, if a member connects a Gmail or Microsoft 365 / Outlook mailbox and its calendar, keep its records up to date from them. We may improve, change or remove features over time, and will give reasonable notice of a change that materially reduces what the service does.

3. Accounts and Members

You are responsible for who you invite, the roles you give them, and everything done through your account. Keep sign-in details secure, and tell us promptly if you believe your account has been accessed without permission.

4. Your Data

You own the data you and your clients put into the service. You give us permission to host, process and transmit it only as needed to provide the service, as described in our Privacy Policy.

You are responsible for having the right to collect and use the personal information you store, including your contacts’ and clients’ information, and for telling them how you use it where the law requires.

5. AI Features

Uncog AI uses AI to find details in email, help design workflows and check documents. AI can make mistakes. You choose how much is applied automatically, and you remain responsible for decisions you make using what it suggests, including whether to accept a client’s document.

6. Acceptable Use

You must not:

  • use the service for anything unlawful, or to send spam or harass anyone;
  • upload malware, or content you have no right to share;
  • try to get around security or access limits, or access another business’s data;
  • interfere with the service, or place an unreasonable load on it.

7. Third-Party Services

Connecting a Gmail or Microsoft 365 / Outlook mailbox, or its calendar, is optional and is also governed by Google’s or Microsoft’s terms. You can disconnect at any time. We are not responsible for services we do not control.

8. Fees

If we introduce paid plans, we will tell you the fees before they apply, and you can choose not to continue.

9. Suspension and Ending the Service

You can stop using the service at any time, and ask us to delete your account. We may suspend or close an account that breaches these terms or puts the service or other users at risk, and will give notice where we reasonably can.

10. Consumer Law and Liability

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.

Subject to that, and to the extent the law allows: we provide the service with reasonable care and skill but do not promise it will be uninterrupted or error-free; we are not liable for indirect or consequential loss, including lost profits or data; and our total liability to you is limited to the amount you paid us in the 12 months before the claim, or, where the Australian Consumer Law applies, to supplying the service again or paying the cost of having it supplied again.

11. Changes to These Terms

We may update these terms. We will give you at least 30 days’ notice of a material change, by email or in the product. Continuing to use the service after a change takes effect means you accept it.

12. Governing Law and Contact
